Terms of Service

These terms are the agreement between you and us for using Candela. In these terms, “we” and “us” means Ryrex Finance Ltd, a company registered in England & Wales (Company No. 14500886), registered office 13 Whitchurch Lane, Edgware, HA8 6JZ, United Kingdom — Candela is our trading name — and “Candela” means the service at candelajournal.com. Like everything we publish, these terms are written to be read: each section opens with what it means in plain English. Please read them alongside our Privacy Policy, our Risk Disclosure, our Refund Policy, and — if you join the affiliate (partner) programme — our Affiliate Programme Terms.
1. Who we are and what this is
In short: this is the contract you accept when you create a Candela account, and it sits alongside our other legal pages.
Candela is an online trading journal at candelajournal.com, operated by Ryrex Finance Ltd (details above). You can reach us any time at support@candelajournal.com.
You accept these terms when you create an account — by ticking the agreement box, or by signing up with Google after confirming it — and they apply every time you use Candela after that. If you upgrade to a paid plan or buy AI credits, these terms govern that purchase too, together with the checkout terms of Whop, our payment provider (section 4). If you don't agree with these terms, please don't create an account — and if you already have one, you can export your data and delete your account at any time (sections 5 and 11 explain how nothing traps you here).

Nothing in these terms affects your statutory rights as a consumer. Where anything here conflicts with a right the law gives you that cannot be excluded, the law wins.
2. What Candela is — and is not
In short: Candela is a journal and an educational analytics tool. It is not a broker, not financial advice, and it never touches your money or your trades.
Candela helps you record trades you have already decided on and taken elsewhere, reflect on them, and study your own patterns. That is the whole product. Specifically, Candela:
- does not execute trades — it cannot place, modify or close a position anywhere;
- does not hold funds — we never take custody of money or assets, and we never ask for broker API keys, investor passwords, or trading-platform logins;
- does not connect to your brokerage account — the only way trading data enters Candela is you typing it in or uploading a statement file (section 9);
- does not give financial, investment, tax or legal advice — nothing in the product, including the dashboard, analytics, scores, guide content, blog, emails or AI coach, is a recommendation to buy, sell, hold or trade anything. Our analytics describe your own recorded history; they do not predict anything. Nothing in Candela is a financial promotion or an invitation or inducement to engage in investment activity.
Trading is risky and the risk is yours. Trading involves substantial risk of loss and is not suitable for everyone. CFDs and other leveraged products carry a high risk of losing money rapidly. Past performance — including anything your own journal statistics show — is not indicative of future results. Every trading decision you make, and every profit or loss that follows, is your own responsibility. Candela is a mirror, not a map.
We are not authorised or regulated by the Financial Conduct Authority, and we are not a licensed financial adviser in any jurisdiction. If you need advice, speak to someone who is authorised to give it. See the Risk Disclosure for more.
3. Your account
In short: you must be 18+, your details must be accurate, the account is yours alone, and you're responsible for keeping it secure.
- Age. You must be at least 18 years old — or the age of majority where you live, if that is higher — to use Candela. This matches our Privacy Policy. If we learn an account holder is under 18, we will close the account and delete its data.
- Accuracy. The details you give us (starting with your email address) must be accurate and kept up to date. Your email matters more than usual here: it is how a Whop purchase is matched to your Candela account (section 4).
- One person per account.An account is personal to you. Don't share your login, and don't operate an account for someone else or let someone else operate yours. A trading journal only works if it's one person's honest record — and our plans are priced per person, not per desk.
- Security. You are responsible for keeping your password confidential and for everything done through your account. Choose a strong password (we require at least 10 characters with letters and numbers), and we strongly recommend turning on two-factor authenticationin Settings → Security — once enrolled, we enforce it on every sign-in. Tell us at support@candelajournal.com immediately if you think your account has been compromised. Your account's recent activity is visible in Settings → Audit log.
4. Plans, prices and billing
In short: there's a free tier with no card required; paid plans are billed by Whop, renew automatically until you cancel, and the total price is always shown at checkout before you pay.
The free tier.You can use Candela free with no payment card: it includes 5 manual trade logs (a lifetime total, not per month), one trading account, and full access to the analytics on whatever you've logged. There is no free trial of the paid plans — paid subscriptions start immediately when you buy.
Paid plans. As at the date at the top of this page, the paid plans are:
- Advanced — $24/month, or $180/year (billed as one upfront annual payment)
- Pro — $36/month, or $288/year (billed as one upfront annual payment)
Advanced adds unlimited trade logs, up to 5 trading accounts (journals for separate broker accounts you record — Candela never connects to the accounts themselves) and statement imports, among other features; Pro adds unlimited trading accounts, the Mind Journal, and the AI coach with a monthly credit allowance (the coach is also available on any plan via purchased credit packs — section 6). The full, current feature comparison lives on the pricing page. Prices are in USD. Where VAT or local taxes apply to you, the checkout shows the total including tax before you commit to pay. The price and plan details shown at checkout at the moment you buy are the ones that apply to your purchase — if anything on our site is out of date, checkout governs.
Whop is the merchant of record.All payments are handled by Whop (whop.com), an independent payment platform that acts as the merchant of record — the legal seller of the subscription, responsible for taking your payment, holding your card details, and accounting for VAT. Your card details never touch Candela. When you buy, you also enter into Whop's own terms for the transaction. Your invoices, payment method, and cancellation controls all live in your Whop account (whop.com/orders), and payment receipts come from Whop. The rights in these terms are given by us:if anything in Whop's terms or processes would give you less than these terms promise, we will honour these terms — contact support@candelajournal.com and we will procure the refund or fix directly.
Use the same email.Purchases are matched to your Candela account automatically — most reliably by the email address you use at checkout. Use the same email as your Candela account and your upgrade activates within moments. If the emails don't match, activation isn't automatic: the payment is held for manual matching, and we will reconcile it — nobody loses money silently — but you may need to contact support@candelajournal.com so we can connect the payment to your account.
Auto-renewal.Paid subscriptions renew automatically — monthly plans every month, annual plans every year — at the then-current price for your plan, charged to your payment method on file with Whop, until you cancel. We will email you a reminder before each annual renewal. You can cancel at any time (section 5), and cancelling is as simple as subscribing. Your renewal date is shown in Settings → Plan & Billing.
Price changes.We can change prices, but never mid-purchase and never by surprise: a price change applies only to future renewals, we will give you at least 30 days' notice by email before an increased price takes effect, and you can cancel before it does so it never touches you. One standing exception in your favour: if you joined in the founding cohort with a price-lock, your price never rises while your subscription remains continuously active — that promise survives anything else in this section.
Failed payments.If a renewal payment fails, you keep your plan and full access for a grace period while Whop automatically retries your card, and your billing page (Settings → Plan & Billing) will show the payment issue. If payment ultimately isn't made, your subscription ends and your account moves to the free tier exactly as described in section 5 — nothing is deleted.
Switching plans. Moving between Advanced and Pro is done through Whop. Any proration or mid-cycle adjustment is handled by Whop under its checkout terms.
5. Cancelling and refunds
In short: cancel any time and keep access to the end of the period you've paid for; your journal stays readable for as long as you keep your account. You also have a 14-day statutory cooling-off right.
Cancelling.You can cancel your subscription at any time from your Whop account (whop.com/orders — also linked from Settings → Plan & Billing), or simply by emailing support@candelajournal.comasking us to cancel — the email is itself effective, and we will action it for you. Cancelling stops future renewals; your paid features keep working until the end of the period you've already paid for. There is no cancellation fee and no retention hoop to jump through.
What happens when a subscription ends (lapse). Your journal is never held hostage:
- Everything stays readable.Every trade, note, screenshot, tag and analysis you've recorded remains visible to you. We do not delete anything when a subscription ends — ever.
- Exports keep working.You can export your trade journal — every trade with its tags, emotions and journal text — as CSV or JSON at any time, on any plan or none. Export is never paywalled. (The export covers trades; for strategies, check-ins and images, email us and we'll provide the rest — see the Privacy Policy.)
- New entries fall back to free-tier limits.The free plan allows 5 manual trade logs in total, so if your journal already holds more than that, you won't be able to add new trades until you resubscribe. Statement imports also pause.
- Nothing above the free limits is removed. Extra trading accounts and existing data all stay in place; the limits only apply to what you add next.
- Resubscribing picks up exactly where you left off — same journal, nothing lost.
Your 14-day cooling-off right. If you are a consumer, you have a legal right under the Consumer Contracts Regulations 2013 to cancel a purchase within 14 days of buying and receive a refund. Your plan (or credit pack) starts working immediately on purchase — before checkout we ask you to expressly request that immediate start and to acknowledge the consequence, which is that the refund is reduced by a proportionate charge for what has already been supplied: for a subscription, the portion of the billing period that has elapsed; for AI credits, the value of credits you have already spent. To exercise this right, email support@candelajournal.comwithin 14 days of purchase; you don't need to give a reason, and you can use the model cancellation form on our Refund Policypage if you like (you don't have to).
Beyond cooling-off. If Candela is faulty, not as described, or not provided with reasonable care and skill, you have remedies under the Consumer Rights Act 2015 — including repair, re-performance, or money back — that nothing in these terms takes away. Our Refund Policy restates all of this in one place; it will only ever add to the rights in this section, never subtract from them.
AI credit packs. Credit packs are one-time purchases, not subscriptions — they never renew and never expire (though deleting your account erases them — see below). Apart from the cooling-off right above and your statutory rights, spent credits are spent: they are a consumable, used up as you use the coach.
Deleting your account is a separate thing.Deleting your Candela account (Settings → Data & privacy) permanently and immediately erases your profile, trading accounts, trades, journal entries and images. If you have unspent purchased credits at that point, contact us before (or promptly after) deleting and we will refund them at the price you paid — deletion should never cost you prepaid value. Deleting your account does not cancel your subscription— Whop doesn't know you deleted it. Cancel first, then delete, or you may keep being charged for a service you can no longer see. If that happens to you, contact us and we'll help put it right.
6. AI coach and credits
In short: the coach is an educational tool that reflects on your own journal. It is designed never to tell you what to trade, it can be wrong, and it runs on credits.
What the coach does. The AI coach (a Pro feature, also usable on any plan with purchased credits) reads your own logged history — recent trades, check-ins, and strategies — and helps you reflect on it. It is designed and instructed so that it:
- never predicts prices or market direction;
- never recommends entering, exiting, buying, selling or holding anything;
- never suggests position sizes for future trades;
- declines questions like “should I trade X?”.
These are guardrails, not decoration — but they are instructions to an AI, not a law of physics. If the coach ever appears to give a recommendation or prediction, that output is an error, is not advice, and must not be relied on. The coach's output is AI-generated and educational only — it is not financial advice, and like all AI output it can be incomplete, out of date, or simply wrong. Never act on anything the coach says without verifying it yourself, and never treat it as a substitute for professional advice. You are responsible for every trading decision you make, whatever the coach said or didn't say.
Credits. The coach is metered in credits:
- Pro allowance: Pro includes 200 credits per calendar month, reset on the first of each calendar month (UTC). Unused allowance does not roll over.
- Purchased packs: you can buy credit packs as one-time purchases at the prices shown in Settings → AI Assistant. Purchased credits never expire (though deleting your account erases them — section 5 explains the refund route), work on any plan (including Free, and even after a subscription lapses), and are spent only after your monthly allowance runs out.
- What things cost:a message costs 1 credit on standard models and more on premium models; attachments cost extra. The current per-model and per-attachment costs are always shown in the app before you're charged. We may adjust models and credit costs from time to time; changes apply prospectively and never take away credits you've already bought.
- When you run out:the coach simply stops until your allowance resets or you top up. Credits are consumed when you use them and, once spent, aren't refundable (subject always to section 5 and your statutory rights).
Fair use.Credits meter honest use of the coach; they aren't a licence to abuse it. Don't use the coach to bulk-generate content, probe or bypass its guardrails, resell access, or hammer the service programmatically (section 8). Attachment limits (currently 3 images and 1 PDF per message, with size caps) are part of the product and may change.
Availability. The coach depends on a third-party AI provider. If that upstream service is unavailable, the coach may be temporarily unavailable too. If a request fails before the coach has produced any answer, the credit is refunded automatically— you don't need to ask. If you ever think a credit was taken in error, email support@candelajournal.com and we'll put it right.
7. Your content and ours
In short: your journal is yours — we take only the narrow licence we need to run the service for you. The software and brand are ours.
Your content stays yours. Everything you put into Candela — trades, notes, thoughts, screenshots, check-ins, strategies, goals, tags — is and remains yourcontent. You own it. We claim no ownership of it, we don't sell it, we don't use it to advertise, and we don't show it to other users (there is no sharing, publishing or social feature in Candela — your journal is visible only to you, and even our admin tools show account activity, never journal content).
The licence we actually need — and nothing more. So that we can lawfully operate the service for you, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, back up, process, transmit and display your content solely to provide, secure and support the service to you— for example: storing your trades in our database, computing your analytics, rendering your screenshots back to you, sending your own content to the AI provider when you ask the coach a question, and generating your exports. That's it. This licence ends when the content is deleted (allowing a short interval for backups to cycle, as described in the Privacy Policy). We deliberately do not take the broad “perpetual, irrevocable, sublicensable” content licence you may have seen elsewhere in this industry — we don't need it, so we don't ask for it.
Your responsibilities for your content.You're responsible for what you put in your journal being lawful and yours to upload. The few places your input can be seen beyond your own account — your avatar, your affiliate-programme handle, and messages you send to support — must not contain anything unlawful, infringing, abusive or obscene.
Our IP.The Candela software, site, design, analytics, guide content, brand and name (and Ryrex Finance Ltd's other marks) belong to us or our licensors. We grant you a personal, non-transferable, non-exclusive right to use the service for your own journaling while these terms are in force. You may not copy, resell, or build a competing service from it (section 8).
Feedback. If you send us ideas or suggestions about Candela itself, we can use them to improve the product without owing you anything — though we genuinely appreciate them. This never gives us any rights over your journal content (see above).
IP complaints. If you believe content on Candela infringes your intellectual property rights, email support@candelajournal.com with details of the work, the location of the material, and your contact details, and we will investigate and act promptly.
8. Acceptable use
In short: use Candela as a person keeping their own journal. Don't attack it, scrape it, resell it, or game its limits.
You agree not to:
- use Candela for anything unlawful, or to store or transmit unlawful content;
- probe, scan, attack, overload or interfere with the service, its infrastructure or its security — including attempting to bypass rate limits, plan gates or access controls, or testing our defences without written permission;
- scrape, harvest or bulk-download data from the service other than through your own export;
- reverse engineer, decompile or copy the software except where the law expressly permits it;
- resell, sublicense, share or commercially exploit access to Candela or the AI coach, or use one account for multiple people;
- circumvent plan limits — including creating multiple free accounts to farm the free allowance, manipulating imports, or making requests directly to our servers to evade tier gates;
- abuse the AI coach (section 6), including attempts to extract its system instructions or use it for purposes unrelated to your trading journal;
- misuse the affiliate programme, including self-referral or referral fraud (the Affiliate Programme Terms govern the programme in full);
- upload malicious files, or use our statement-upload endpoint for anything other than genuine broker statements of your own;
- impersonate anyone, or misrepresent your affiliation with anyone, in any input the service accepts.
We keep our limits generous because most people never notice them; this section exists for the few who go looking. Breach of it is grounds for suspension or termination under section 11.
9. Statement imports and third-party links
In short: imported numbers are parsed from your file on a best-effort basis — your broker's records are the truth. Links to other sites are their responsibility, not ours.
Imports.Paid plans can import broker statements (the currently supported formats are always shown in the app). Parsing is automated and best-effort: statement formats vary, brokers change them, and time zones need your input. We do not guarantee that parsed trades, prices, times or P&L figures are complete or accurate. Your broker's own records are always the authoritative version of your trading history — check imported data against them, especially before relying on any analytics built on it. Import limits (file size, trades per statement, frequency) apply and are enforced in the app.
Third-party links.Candela links out to third-party sites and services — Whop for billing, your broker's platforms, and others. Those sites have their own terms and privacy policies, we don't control them, and we're not responsible for their content or conduct. Whop's terms in particular apply to every payment you make (section 4).
10. Availability and changes to the service
In short: we work hard to keep Candela up and improving, but we don't promise perfection — and if we ever shut it down, you get your data out and your unused money back.
Availability.We provide Candela with reasonable care and skill, and we use reasonable endeavours to keep it available — but no online service can promise 100% uptime, and we don't. Maintenance, upgrades, failures of third-party infrastructure (hosting, database, payments, the AI provider) and events outside our reasonable control can all interrupt the service temporarily. Where planned maintenance will be disruptive, we'll try to give notice.
The service evolves.Candela is actively developed: features will be added, improved, and occasionally changed or retired. We won't materially degrade the core of what you're paying for mid-billing-period without telling you: if we make a change that materially reduces a paid feature you use, we'll give you reasonable advance notice by email or in the app, and you can cancel before it takes effect (with a pro-rata refund of any prepaid period you choose not to use because of the change).
If we discontinue Candela.If we ever decide to shut the service down entirely, we will give you at least 30 days' notice, keep your export working throughout that period so you can take your trade journal with you (and provide the rest of your data on request, per the Privacy Policy), refund the unused portion of any prepaid subscription, and refund the value of any purchased AI credits you have not spent, at the price you paid for them. Your data-deletion rights under the Privacy Policy apply as always.
11. Suspension and termination
In short: you can leave any time and take your data with you. We only act against accounts for genuine cause, proportionately — and even then, your export and deletion rights survive.
You ending things.You can stop using Candela at any moment: cancel your subscription (section 5) and, if you want, delete your account in Settings → Data & privacy. Deletion is immediate, permanent and entirely self-service — we never make you email anyone to leave.
Us suspending or terminating. We may suspend or terminate your access if there is genuine cause, namely:
- a serious or repeated breach of these terms, in particular the acceptable-use rules in section 8;
- use of the service for unlawful activity;
- a genuine security need (for example, an account we reasonably believe is compromised);
- a legal obligation requiring us to act.
We will act proportionately: where the problem is fixable and doesn't demand immediate action, we'll contact you and give you a chance to put it right before doing anything drastic, and suspension (temporary) comes before termination (permanent) where practicable. Failing to pay is not treated as a breach — it simply ends your subscription with the lapse consequences of section 5, nothing more.
Effect on your data. Suspension or termination never silently destroys your journal. Unless we are legally prevented, you keep the right to export your data, and your deletion rights under the Privacy Policy survive. If we terminate your account other than for your serious breach, we will refund the unused portion of any prepaid subscription and the value of any unspent purchased credits at the price you paid. If we terminate for your serious breach, we may withhold from any credit refund only what is needed to cover loss we can actually evidence. Sections of these terms that by their nature should survive (7, 12, 14 among them) survive termination.
12. Liability
In short: we stand behind the service we actually sell — a journal — but trading losses are yours, and our liability is capped at what you've paid for Candela in the last year. Your statutory rights are untouched.
What we never exclude. Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or anything else that cannot be excluded or limited under the law of England and Wales — including your rights under the Consumer Rights Act 2015 to a service performed with reasonable care and skill and digital content as described, and our liability under section 46 of that Act if digital content we supply damages your device or other digital content and we failed to use reasonable care and skill.
Trading losses.Candela is a journal and an educational tool. It does not advise, predict, execute or custody (section 2). Your trading decisions are made by you, on platforms we don't control, with money we never touch. To the fullest extent the law allows, we are not liable for trading losses, missed trading opportunities, or any other loss arising from trading decisions you make — whether or not you looked at Candela, your analytics, or the AI coach before making them.
Losses we are not responsible for.Subject to “What we never exclude” above, we are not liable for losses that were not foreseeable to you and us when these terms were formed, losses caused by your breach of these terms, or business losses — Candela is sold for personal use.
The cap.Subject to “What we never exclude” above, our total aggregate liability to you arising out of or in connection with these terms and your use of Candela — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the total amount you paid for Candela (through Whop or otherwise) in the 12 months before the event giving rise to the claim — or, if you have only used the free tier, £50 (we're a UK company, so the fallback cap is in pounds).
Your responsibilities to us.If you use Candela in breach of section 8 and that causes us loss, you are responsible for that loss to the extent the law allows — this isn't an indemnity trap, just the ordinary consequence of a breach.
13. Changes to these terms
In short: we can update these terms, but material changes come with advance notice and the right to walk away before they bite.
We may update these terms from time to time — to reflect new features, changes in law, or lessons learned. When we do:
- the “Last updated” date at the top changes, and prior versions are superseded from the effective date;
- material changes — anything that meaningfully affects your rights, what you pay, or what you get — will be notified to you in advance by email or a prominent in-app notice, with at least 30 days before they take effect wherever practicable (and always at least 30 days for a price increase — section 4);
- if you don't agree with a material change, you can cancel before it takes effect; if you're mid-way through a prepaid period and the change materially disadvantages you, we'll refund the unused portion;
- continuing to use Candela after a change takes effect means you accept it.
Changes never apply retroactively, and no change will take away accrued rights (like credits you've bought or a founding-cohort price lock).
14. General
In short: the standard legal plumbing — with your consumer protections written in rather than lawyered out.
- Entire agreement.These terms, together with the documents they link to in section 1, are the whole agreement between us about Candela. This doesn't exclude liability for fraudulent misrepresentation, and doesn't affect any statutory consumer rights or remedies.
- Assignment.You can't transfer your account or this agreement to anyone else. We may assign this agreement to a successor of our business (for example on a sale or restructuring), provided your rights under it aren't reduced; we'll tell you if we do.
- Severability. If any part of these terms is found invalid or unenforceable, the rest stays in force.
- No waiver.If we don't enforce a term on one occasion, we haven't given it up.
- Third parties. No one other than you and us has any rights under these terms. The Contracts (Rights of Third Parties) Act 1999 does not apply to this agreement.
- Events outside our control. Neither of us is responsible for failing to perform (other than payment obligations) because of events beyond reasonable control.
- Governing law and courts. These terms are governed by the law of England and Wales, and you and we can bring proceedings in the courts of England and Wales. But if you are a consumer, two important protections apply on top: (1) you also benefit from any mandatory consumer-protection rules of the country where you live that cannot be excluded by contract, and (2) you may bring proceedings in the courts of the country where you live, and any proceedings against you may only be brought there. There is no arbitration clause in these terms and no class-action waiver — you keep every route to justice the law gives you.
- Complaints. If something has gone wrong, contact us first at support@candelajournal.com — we would genuinely rather fix a problem than litigate one. EU/EEA consumers may also have access to local alternative dispute resolution bodies.
